Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the websites, softphone, and related products offered by DialQueue (the “Services”). By creating an account, accepting an invite, or otherwise accessing the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
These Terms incorporate our Privacy Policy and Cookie Policy.
1. Access to the Services
Subject to these Terms, DialQueue grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for your internal business purposes. We may update, improve, or discontinue features from time to time. We will use commercially reasonable efforts to provide the Services and related support.
2. Accounts and security
You must provide accurate account information and keep credentials confidential. You are responsible for activity under your account and for users you invite to your team. Enable multi-factor authentication where available, and promptly revoke access for people who should no longer use your workspace. Notify us immediately of any unauthorized use at support@dialqueue.com.
We may require identity or business verification to protect the integrity of the Services and telephony providers. Failure to complete verification may result in suspension or limited access.
3. Customer data and privacy
“Customer Data” means data you or your users submit to the Services, including account profile information, contacts, call metadata, messages, notes, voicemails, recordings, and uploaded media. As between you and DialQueue, you retain rights in Customer Data. You are responsible for the accuracy, legality, and rights needed to use Customer Data with the Services.
DialQueue will use commercially reasonable efforts to maintain the security and integrity of the Services and Customer Data. We may process Customer Data to provide and improve the Services, generate aggregated anonymized insights that do not identify you, and as described in the Privacy Policy. You are responsible for use of the Services by anyone you grant access.
4. Phone numbers, calling, and recordings
Phone numbers, voice routing, and related connectivity may be provided through DialQueue and its telephony partners (including Telnyx). Numbers and carrier resources remain subject to provider and regulatory rules. After account termination or prolonged delinquency, numbers and related records may be released or deleted after a reasonable retention window.
You are solely responsible for complying with all laws that apply to your calls, messages, contact lists, and recordings—including consent, two-party recording, telemarketing, do-not-call, and spam rules in every jurisdiction where you place or receive communications. DialQueue does not provide legal advice and does not guarantee that any feature alone makes your use lawful. If you enable call recording or voicemail, you must provide any required notices and obtain any required consents.
5. Acceptable use
You will not, and will not allow others to:
- Reverse engineer, interfere with, overload, or bypass security of the Services
- Copy, resell, or provide the Services to third parties except as expressly allowed
- Use the Services for unlawful, harmful, fraudulent, harassing, or abusive activity
- Send spam or unsolicited communications, or violate messaging and calling regulations
- Attempt to access another user’s account or scrape the Services
- Upload malware or content that infringes others’ rights
- Use the Services on compromised devices or in a way that jeopardizes account security
You must use the Services in compliance with applicable laws and third-party provider policies. We may investigate and suspend or terminate access for violations.
6. Third-party services
The Services may depend on third-party platforms such as telephony carriers, email delivery, authentication providers, browsers, and hosting providers. DialQueue is not responsible for third-party services outside our reasonable control. Your use of third-party services may be subject to their own terms and privacy policies.
7. Ownership and feedback
DialQueue and its licensors own the Services, software, branding, and related intellectual property. No rights are granted except as expressly stated. If you provide feedback or suggestions, you grant DialQueue a perpetual, irrevocable, royalty-free license to use that feedback without restriction.
8. Fees and changes
If paid plans, usage charges, or add-ons apply, fees will be disclosed at purchase or in your account. Unless otherwise stated, fees are non-refundable. You are responsible for applicable taxes. We may change pricing or packaging with notice as required. Excessive or abusive usage may be limited or billed as overage where applicable.
9. Disclaimer
EXCEPT AS EXPRESSLY STATED IN WRITING, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT CALL QUALITY OR DELIVERY WILL MEET YOUR REQUIREMENTS.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EXCEPT FOR YOUR PAYMENT OBLIGATIONS, YOUR INDEMNIFICATION OBLIGATIONS, OR YOUR BREACH OF ACCEPTABLE USE RESTRICTIONS, EACH PARTY’S TOTAL LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO DIALQUEUE FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR USD $100 IF YOU HAVE NOT PAID ANY FEES).
11. Indemnification
You will defend, indemnify, and hold harmless DialQueue and its affiliates, officers, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from Customer Data, your use of the Services, your communications or recordings, or your violation of these Terms or applicable law.
12. Suspension and termination
You may stop using the Services and close your account at any time. We may suspend or terminate access if you breach these Terms, create risk or legal exposure, fail verification, fail to pay fees, or if required by law or providers. Upon termination, your right to use the Services ends. Provisions that by nature should survive (including ownership, disclaimers, limitations, and indemnity) will survive. We may delete Customer Data after termination according to our retention practices, though limited residual copies may remain in backups for a period.
13. Miscellaneous
These Terms are the entire agreement between you and DialQueue regarding the Services and supersede prior agreements on the same subject. If a provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, except to a successor in connection with a merger or sale of substantially all assets; DialQueue may assign these Terms and use subcontractors. Notices may be sent by email or through the Services. Neither party is liable for delays caused by events beyond reasonable control. These Terms are governed by the laws of the State of California, excluding conflict-of-law rules, unless mandatory local consumer law provides otherwise. Courts located in San Francisco County, California will have exclusive jurisdiction, except that either party may seek injunctive relief in any appropriate venue.
